Disclosure Message

Definition

Disclosure Message. Disclosure of some fact or facts, by the holder of some security, as a result of some formal requirement imposed upon holders or beneficial owners under some applicable regulation.

The message modeled here is the message in which the disclosure is made. Individual types of disclosure are not modeled and may vary across jurisdictions. A fact about the disclosure is the regulation under which it was required to be made. Another fact is the disclosing party, that is the holder or beneficial owner.

Notes

In the Business Entities ontology, beneficial ownership is modeled separately from control ownership. This type of message may result from formal requirements placed upon either.
